Welcome to TOTAL X PAYROLL ("Company", "we", "us", "our").
These Terms and Conditions ("Terms") are governed by the applicable laws of India, including the Information Technology Act, 2000 (as amended).
1. Acceptance of Terms
By accessing or using TOTAL X PAYROLL, you agree to be legally bound by these Terms. If you do not agree, please do not use our Service.
2. Eligibility
You must be competent to enter into a contract under the Indian Contract Act, 1872 (i.e., 18 years or older and of sound mind).
3. Use of the Service
You agree to use TOTAL X PAYROLL for lawful purposes only and in compliance with all applicable laws, including labour, employment, and tax laws.
4. Account Responsibility
You are responsible for maintaining confidentiality of your login credentials and for all activities that occur under your account.
5. Fees and Payment
Pricing will be communicated clearly.
Non-payment or breach of payment terms may result in suspension of services.
All fees are exclusive of Goods and Services Tax (GST) unless otherwise stated.
6. Intellectual Property
All rights, title, and interest in the software, logos, trademarks, service marks, and all related intellectual property belong to TOTAL X PAYROLL or its licensors. You shall not reverse engineer, copy, or misuse any content.
7. Data and Compliance
You own your data.
We act as a processor under your instructions.
You are solely responsible for compliance with Indian labour laws (PF, ESI, gratuity, bonus, etc.).
8. Service Availability
We aim for 99.9% uptime. We may carry out maintenance or updates. We are not liable for downtime due to factors beyond our reasonable control.
9. Termination
We reserve the right to terminate or suspend your access without liability if you breach these Terms or misuse the platform.
10. Limitation of Liability
To the maximum extent permitted under Indian law, we are not liable for any indirect, incidental, punitive, or consequential damages arising from your use of the service.
11. Indemnity
You agree to indemnify, defend, and hold TOTAL X PAYROLL harmless from any claims, damages, liabilities, and expenses arising out of your use of the Service.
12. Governing Law and Jurisdiction
These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of the High Court of Kerala, Ernakulam.
13. Amendments
We reserve the right to modify these Terms. Continued use of the service after changes implies acceptance.
